Job Description

JDF, LLC, is currently seeking a seeking a Real Estate Attorney to join our team. This will be a full-time in-office position in our Greenwich, CT/ NY offices.

JDF, LLC serves as general counsel for The Richman Group Affordable Housing Corp (“TRG”) in various real estate transactions and tax credit investments.

The Real Estate Attorney will have experience in commercial real estate investment. Knowledge and experience in affordable housing and fund experience including preparation of real estate fund documents and general experience representing funds investing in affordable housing and in Low Income Housing Tax Credits will be a plus. The position includes working on a variety of large and complex real estate transactions. The attorney will effectively oversee and close the legal aspects of real estate transactions and prepare and review legal documents relating to these transactions.

Responsibilities : Include but are not limited to:

  • Oversee complex real estate and equity financings, including acquisition, construction loans, community development projects and low-income housing tax credit transactions.
  • Perform document production, including creating, revising, and editing documents, and finalizing format and style in compliance with appropriate requirements.
  • Manage all phases of transactions, from receipt of letter of intent stage through closing.
  • Negotiate, draft and review core and ancillary deal documents, including but not limited to loan agreements, joint venture agreements, purchase and sale agreements, guaranty agreements, lease agreements, estoppels, corporate resolutions, guaranty agreements and SNDAs.
  • Draft corporate governance documents, such as operating agreements, formation documents, corporate resolutions, and partnership agreements.
  • Review due diligence materials, title and survey, coordinate revisions with title companies and surveyors, and supervise team members in their review of transaction-related documents and materials.
  • Perform other job-related duties and special projects as required.

Education :

  • Excellent academic credentials
  • a J.D. degree from an ABA-approved law school
  • be an active member in good standing of the Bar for New York and/or Connecticut.

Experience :

1-3 years of Commercial Real Estate experience with experience in Affordable Housing and LIHTC .

Skills and Requirements :

The candidate should possess/demonstrate:

Strong analytical and problem-solving skills, attention to detail, and ability to work independently and collaboratively.

A solid understanding of real estate law, including zoning, land use regulations, and property rights.

Knowledge of state and federal laws regarding transfer and sale of real property.

Proven research and negotiation skills.

Initiative and the ability to use good judgment in handling tasks in a timely and professional manner with limited supervision.

Ability to independently prioritize and manage multiple tasks while meeting deadlines and desired outcomes.

Strong organizational skills to maintain closing schedules.

Ability to work on multiple concurrent projects under pressure with other team members and appropriately prioritize.

Professional presentation and demeanor.

Salary Range :

$250,000 to $500,000 dependent on experience.
